Terms of Service

Effective Date: February 21, 2026

1. Acceptance of Terms

By purchasing, downloading, installing, or using the FirmFlow software ("Software") or associated services from FirmFlow Technologies ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions, do not use the Software.

2. Licensing & Rights

Our "On-Premise Native" Model: We grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely on hardware (servers, PCs) owned or leased by you, primarily for your internal business operations in the accounting/financial sector.

Standard Edition vs. Enterprise: Standard licenses are bound to a single node (server) and a fixed concurrent user count. Enterprise licenses allow multi-node deployments. Refer to your specific sales agreement.

3. Data Sovereignty & Responsibility

You acknowledge that FirmFlow is a self-hosted solution. You are solely responsible for:

  • The secure housing, backup, and physical security of the server running FirmFlow.
  • Configuring firewalls, TLS/SSL certificates, and inward/outward network traffic routing.
  • Ensuring your infrastructure complies with the Nigerian Data Protection Regulation (NDPR) or any local equivalent. We provide the tool; you own the implementation.

4. Support & Maintenance (S&M)

All Professional and Enterprise licenses require an active Annual Support & Maintenance agreement (typically 20% of the initial license cost). This entitles you to:

  • Major and minor version updates (e.g., FIRS compliance changes).
  • Tier-2 engineering support for deployment issues.
  • Access to the latest SmartRequestAI™ Hybrid Connect models.

5. Hybrid AI & Intellectual Property

If relying on the SmartRequestAI™ Hybrid Connect bridge, you grant FirmFlow the right to process the specific metadata payloads sent from your server to our cloud. We do not claim ownership of the underlying documents, but FirmFlow retains all intellectual property rights to the AI models, algorithms, and the bridge API structure itself.

Any attempt to decompile, reverse-engineer, or distribute the local firmflow binaries or our proprietary NDPR compliance database schema is strictly prohibited and will result in immediate license termination.

6. Limitation of Liability

Because FirmFlow is deployed on environments outside our direct control, in no event shall FirmFlow Technologies be liable for lost profits, data loss, ransomware attacks on your local network, or direct, indirect, incidental, or consequential damages arising out of the use or inability to use the Software.
